Procopé & Hornborg acted as the Legal Advisor to Vahanen Group’s management and its shareholders in the sale of the entire share capital of Vahanen International Oy to AFRY, a European leader in engineering, design, and advisory services.
AFRY is a Swedish-Finnish engineering, consulting, and design company. They have 16,000 employees in 50 different countries. In 2020, their net sales were 1.9 billion.
Vahanen Group is a Finnish-owned technical consulting organization in the construction and real estate sector. The acquisition provides an excellent opportunity for Vahanen Group to continue their growth journey and further develop their operations. In 2020, Vahanen Group’s net sales were EUR 46.6 million (pro forma). Currently Vahanen Group employs approximately 500 people and has offices in several cities in Finland and offices also in Estonia and in Romania.
The transaction remains subject to customary merger control clearance.
Procopé guided the project to a successful outcome according to the goals set by the sellers.
