The demerger of Suomen Hyötytuuli into three new companies

We are pleased to announce that Suomen Hyötytuuli Oy has successfully finalized its demerger earlier this year into three new companies: Suomen Hyötytuuli Oy, Tahkoluoto Offshore Oy and Arenso Oy. The demerger plan was registered in March 2024, and the demerger was implemented in September 2024. The final accounts were registered in January 2025, marking the last step of the process. Procopé & Hornborg assisted Suomen Hyötytuuli Oy and the incorporated companies throughout the demerger process.
In the demerger, Suomen Hyötytuuli Oy, a Finnish renewable energy production company and a pioneer in offshore wind power, transferred its wind farms to the newly incorporated company of the same name, which has become the largest wind energy producer in Finland, and Tahkoluoto Offshore Oy assumed ownership of the Tahkoluoto project. Both companies purchase wind farm life-cycle services, such as development, construction, operation, maintenance and dismantling services from Arenso Oy, to which all personnel were transferred. The demerger enables cost-efficient and flexible use of resources and wind energy expertise and opens possibilities for further development of ownership structures and investment partnerships.
